TERMS & CONDITIONS / TERMS OF USE

Effective Date: September 2, 2026

Last Updated: September 2, 2026

These Terms & Conditions / Terms of Use ("Terms") govern your access to and use of the websites, mobile applications, member portals, communities, educational materials, training programs, coaching resources, artificial intelligence features, digital content, and related services operated or provided by Leading Digital Ecom, Inc. ("Leading Digital Ecom," "LDE," "we," "us," or "our"), including the LDE 2.0 mobile application (collectively, the "Services").

Please read these Terms carefully. By creating or using an account, accessing or using the Services, or otherwise agreeing to these Terms where presented to you, you agree to be bound by these Terms.

If you do not agree to these Terms, you should not access or use the Services.

Certain LDE programs, purchases, coaching engagements, subscriptions, or services may also be governed by a separate enrollment agreement, coaching agreement, order form, checkout terms, subscription terms, or other written agreement between you and LDE (each, a "Program Agreement").

1. ELIGIBILITY

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

By accessing or using the Services, you represent and warrant that you meet these eligibility requirements.

Certain portions of LDE 2.0 are available only to individuals who have enrolled in, purchased, renewed, upgraded to, or otherwise received authorized access to an applicable LDE program or service.

2. RELATIONSHIP TO YOUR PROGRAM AGREEMENT

These Terms govern your general access to and use of LDE's websites, applications, communities, technology, digital content, and Services.

If you have entered into a separate Program Agreement with LDE, that agreement remains in effect according to its terms.

If there is a direct conflict between these Terms and a Program Agreement concerning a program-specific commercial matter, including your specific enrollment term, program fee, installment schedule, refund or guarantee terms, or specifically purchased services, the applicable Program Agreement will control with respect to that matter, except to the extent prohibited by applicable law.

These Terms supplement, and do not automatically replace, obligations contained in an existing Program Agreement.

3. THE LDE SERVICES

Depending on your enrollment, purchase, membership, account status, and applicable program, LDE may provide access to Services including:

  • Online educational courses and training modules;
  • Videos, recordings, worksheets, documents, and educational resources;
  • Amazon business education and related training;
  • Group coaching and mentorship calls;
  • Community discussions and member interaction;
  • Live events, workshops, Master Hours, and Q&A sessions;
  • Private or individualized coaching where included in your program;
  • Digital tools and resources;
  • Artificial intelligence-powered features, including Shayne AI;
  • Member profiles, messaging, notifications, leaderboards, and engagement features; and
  • Other features, services, resources, or content made available by LDE.

Not every user is entitled to every feature, course, coaching service, recording, module, resource, or future addition to the Services.

Access depends on the program, product, membership, renewal, upgrade, or other access rights applicable to your account.

4. PROGRAM ACCESS AND DURATION

Your access period is determined by the applicable Program Agreement, purchase terms, subscription terms, enrollment offer, or other terms applicable to your purchase.

For programs sold with a defined enrollment period, access to coaching, training materials, community features, or other program resources may terminate when that enrollment period expires.

Continued access after an enrollment period may require a renewal, subscription, upgrade, continuation fee, or enrollment in another LDE offering.

The availability of LDE 2.0 does not automatically extend or reinstate an expired coaching term, prior membership, legacy program, or previous entitlement.

New courses, modules, coaching, features, recordings, Q&As, tools, and content may be associated with newer or different LDE programs and may require a separate purchase, renewal, or upgrade.

5. ACCOUNT REGISTRATION AND SECURITY

You may be required to create an account to access some or all of the Services.

You agree to provide accurate information and to maintain the security and confidentiality of your login credentials.

Your account is personal to you. Unless LDE expressly authorizes otherwise, you may not:

  • Share your username or password with another person;
  • Allow another person to use your account;
  • Sell, rent, license, sublicense, or transfer your account;
  • Provide unauthorized individuals with access to member-only Services; or
  • Circumvent access controls, payment requirements, or membership restrictions.

You are responsible for activity occurring through your account to the extent permitted by applicable law.

You should promptly contact LDE if you believe your account or credentials have been compromised.

6. EDUCATIONAL PURPOSES ONLY

LDE provides business education, coaching, training, information, tools, resources, and community support.

The Services are provided for general educational and informational purposes and are not a substitute for professional advice tailored to your individual circumstances.

LDE does not provide legal, tax, accounting, investment, immigration, employment, or other regulated professional advice unless expressly stated otherwise and provided by a person appropriately qualified to provide that advice.

You are responsible for obtaining appropriate independent professional advice concerning your own business, legal structure, taxes, immigration status, employment restrictions, finances, regulatory obligations, and other individual circumstances.

7. NO GUARANTEE OF BUSINESS RESULTS OR EARNINGS

Building and operating a business involves risk.

Except for any specific written guarantee expressly contained in an applicable Program Agreement, LDE does not guarantee that you will achieve any particular level of revenue, sales, profit, business growth, product approval, account approval, brand approval, inventory performance, or other result.

Testimonials, case studies, examples, student results, screenshots, sales figures, and other examples presented through the Services represent individual experiences or examples and should not be interpreted as a promise that you will achieve the same or similar results.

Results vary and may depend on factors including your effort, implementation, experience, capital, market conditions, product selection, competition, account status, third-party platforms, and circumstances outside LDE's control.

8. AMAZON AND OTHER THIRD-PARTY PLATFORMS

LDE is an independent educational and coaching business.

Unless expressly stated otherwise, LDE is not Amazon and does not control Amazon's systems, policies, algorithms, approval decisions, seller-account decisions, brand restrictions, product restrictions, fees, marketplace conditions, or enforcement actions.

References to Amazon or other third-party companies, services, platforms, trademarks, or products are for educational, descriptive, or interoperability purposes and do not imply ownership, endorsement, sponsorship, partnership, or affiliation unless expressly stated.

You are responsible for complying with the terms, policies, laws, and requirements applicable to any third-party platform or business you use.

LDE is not responsible for a third party changing its rules, restricting your account, rejecting a product, suspending or terminating your account, modifying fees, changing marketplace conditions, or otherwise affecting your business.

9. PURCHASES, PROGRAM FEES, AND PAYMENT PLANS

Certain Services require payment.

The price, payment schedule, enrollment period, and other commercial terms applicable to a purchase may be established through a Program Agreement, checkout page, invoice, order form, subscription terms, or other applicable purchase documentation.

Programs may be offered through a single upfront payment or an installment or payment plan.

If you select a payment plan, you authorize the applicable payment or commerce provider to process payments according to the payment schedule you agreed to, subject to applicable law and the applicable purchase terms.

A payment plan is not necessarily a month-to-month membership that can be canceled merely by discontinuing use of the Services. Where you agreed to pay a fixed program price through installments, the installments constitute the agreed method of paying that program price, subject to your Program Agreement and applicable law.

Failure to make required payments may result in suspension or termination of access to coaching, courses, communities, LDE 2.0, and other Services, without eliminating payment obligations that remain valid under the applicable Program Agreement or law.

10. RECURRING SUBSCRIPTIONS

Certain optional LDE products or services may be offered as recurring subscriptions.

Where a recurring subscription applies, its price, billing frequency, renewal terms, cancellation method, and other applicable terms will be disclosed in connection with the subscription.

Recurring subscriptions are separate from fixed-price program installment plans unless expressly stated otherwise.

Purchases processed through Apple, Google, Commas, or another third-party provider may also be subject to the applicable provider's billing, cancellation, and payment rules.

11. REFUNDS, CANCELLATIONS, AND PROGRAM GUARANTEES

Refund, cancellation, and guarantee rights for a paid LDE program are governed by the Program Agreement and purchase terms applicable to that program, subject to rights that cannot lawfully be excluded or limited.

Unless an applicable Program Agreement, purchase term, written guarantee, or applicable law provides otherwise, payments for educational programs, coaching, digital content, and Services are non-refundable after access or performance has commenced.

180-Day Money-Back Guarantee

Certain LDE coaching enrollments may include a 180-Day Money-Back Guarantee. That guarantee applies only when expressly included in the Program Agreement governing the applicable enrollment.

The guarantee is conditional and is not an unconditional right to a refund. Eligibility is determined according to the requirements stated in the applicable Program Agreement.

Depending on the applicable Program Agreement, these requirements may include documented completion and implementation of required training, participation in specified coaching calls or events, completion of required worksheets and program activities, maintenance of specified Amazon account standards, and other expressly identified eligibility criteria.

If a participant does not satisfy the applicable requirements, the guarantee may not apply.

Nothing in these Terms excludes, restricts, or modifies a refund, cancellation, consumer-protection, or other right that cannot lawfully be excluded, restricted, or modified.

12. PAYMENT DISPUTES AND CHARGEBACKS

If you believe a payment was processed incorrectly or you have a billing dispute, we encourage you to contact LDE promptly at [email protected] so that we can investigate and attempt to resolve the issue.

You agree not to knowingly make false, misleading, or fraudulent statements to a bank, card issuer, payment processor, or other financial institution concerning a legitimate transaction.

LDE reserves the right to provide Program Agreements, invoices, access records, communications, acceptance records, payment records, and other relevant evidence to payment processors, banks, card networks, or other appropriate parties in connection with a payment dispute or chargeback.

Nothing in these Terms prevents you from exercising rights that cannot lawfully be waived under applicable law or applicable payment-network rules.

13. INTELLECTUAL PROPERTY

The Services and LDE materials include valuable proprietary and confidential intellectual property.

Except for User Content as defined below and third-party materials, LDE and its licensors retain all right, title, and interest in and to the Services and materials made available through them, including:

  • Courses and curriculum;
  • Training videos and recordings;
  • Coaching materials;
  • Worksheets, templates, documents, presentations, and guides;
  • Methods, frameworks, systems, processes, and educational materials;
  • Graphics, branding, logos, designs, and text;
  • Software, application interfaces, and digital resources;
  • AI-related configurations, workflows, and proprietary resources;
  • Recorded training and coaching content; and
  • Other copyrightable, proprietary, confidential, trademarked, or protected materials.

Subject to these Terms and your applicable Program Agreement, LDE grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use applicable materials solely for your own authorized educational and business-learning purposes during your authorized access period.

No ownership rights are transferred to you.

14. PROHIBITED USE OF LDE MATERIALS

Unless LDE expressly authorizes it in writing, you may not:

  • Copy, reproduce, republish, redistribute, or resell LDE materials;
  • Share course videos, recordings, worksheets, documents, or member-only content with non-members;
  • Share or resell access credentials;
  • Screen-record, systematically download, capture, or reproduce protected training content;
  • Upload LDE materials to public websites, social-media platforms, file-sharing services, communities, or competing programs;
  • Create or sell a course, coaching program, database, product, or service substantially derived from protected LDE materials;
  • Remove copyright, trademark, confidentiality, or proprietary notices;
  • Scrape, crawl, harvest, index, or systematically extract protected content except as expressly permitted by law;
  • Use LDE's protected materials to train, fine-tune, populate, or create a competing artificial intelligence system, dataset, knowledge base, course, or commercial product without written authorization; or
  • Attempt to circumvent technological measures used to protect the Services.

Unauthorized use may result in suspension or termination and may expose the responsible person to legal remedies available under applicable law.

15. CONFIDENTIALITY

Certain information shared through LDE coaching, communities, member areas, calls, and other Services may be confidential or proprietary.

You agree not to disclose another member's confidential business, financial, personal, sourcing, product, account, or other non-public information without appropriate authorization.

You also agree not to distribute confidential or member-only LDE information to unauthorized individuals.

These obligations do not prohibit disclosures required by applicable law or lawful government process.

16. COMMUNITY AND USER-GENERATED CONTENT

LDE 2.0 may allow users to create profiles, post comments, ask questions, upload photographs or videos, share files, send messages, participate in discussions, and otherwise submit content ("User Content").

You retain any ownership rights you have in your User Content, subject to the licenses and rights granted in these Terms, your Program Agreement, and any separate authorization you provide to LDE.

You are responsible for your User Content and represent that you have the rights and permissions necessary to submit it.

You must not submit content that:

  • Is unlawful, fraudulent, deceptive, or misleading;
  • Harasses, threatens, abuses, stalks, or intimidates another person;
  • Promotes hatred or unlawful discrimination;
  • Contains pornography, sexually explicit material, or sexual exploitation;
  • Exploits or endangers minors;
  • Violates another person's privacy or improperly exposes personal information;
  • Infringes copyrights, trademarks, trade secrets, publicity rights, or other rights;
  • Impersonates another person or misrepresents an affiliation;
  • Contains malware, malicious code, or harmful files;
  • Promotes scams, fraud, or unlawful activity;
  • Constitutes unauthorized spam, solicitation, or advertising;
  • Attempts to manipulate, disrupt, or abuse the community or Services; or
  • Otherwise violates these Terms, applicable community rules, or applicable law.

17. LICENSE TO USER CONTENT

By submitting User Content through the Services, you grant LDE a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, format, and otherwise process that User Content to the extent reasonably necessary to operate, provide, secure, moderate, and improve the Services and make your content available to the audience you selected or reasonably intended.

For example, if you post content to the LDE community, this license allows LDE to display that content to authorized community members.

This operational license does not, by itself, grant LDE an unlimited right to use private community content in public advertising.

Separate promotional, testimonial, likeness, or marketing rights may apply where you have granted those rights through a Program Agreement, release, authorization, consent, or other agreement.

18. TESTIMONIALS AND PROMOTIONAL MATERIALS

Where you have agreed through a Program Agreement, release, authorization, consent, or other applicable arrangement, LDE may use testimonials, reviews, success stories, photographs, videos, screenshots, statements, business results, or similar authorized materials for promotional, advertising, or marketing purposes.

Any such use is subject to the applicable authorization and applicable law.

Posting content within a private LDE community does not, by itself, expand LDE's marketing rights beyond rights otherwise granted by you.

19. COMMUNITY MODERATION, REPORTING, AND BLOCKING

LDE may establish and enforce community standards designed to maintain a safe, useful, and professional environment.

LDE may review reports and may remove or restrict content, warn users, limit functionality, suspend accounts, or terminate access where we reasonably determine that content or conduct violates these Terms, community standards, applicable law, or creates material risk to LDE or other users.

Where supported by the application, users may report objectionable content or abusive conduct and may use available blocking functionality to restrict unwanted interactions with other users.

Users may also report concerns to LDE at [email protected].

LDE does not guarantee that all objectionable content will be identified before another user encounters it.

20. PRIVATE MESSAGES

Certain Services may permit private messaging between members, coaches, or LDE team members.

You agree not to use private messaging to harass users, send unlawful or abusive material, engage in fraud, send unauthorized spam, circumvent community rules, or otherwise violate these Terms.

Although private messages are not ordinarily displayed publicly, they may be processed by LDE's technology providers and may be accessed or reviewed by LDE where reasonably necessary for support, moderation, safety, security, investigation of reported misconduct, enforcement of these Terms, or compliance with applicable law.

21. COACHING CALLS, EVENTS, RECORDINGS, AND TRANSCRIPTS

LDE may provide coaching calls, Master Hours, workshops, group sessions, Q&As, webinars, private coaching, and other live or recorded events.

Sessions may be recorded, transcribed, summarized, or otherwise documented. Where required by applicable law, LDE will provide notice and obtain any required consent before recording or transcribing a session.

Group or community coaching sessions may be recorded and subsequently made available to authorized LDE members as educational resources. Participants should understand that their name, voice, video, chat messages, questions, comments, or other contributions may therefore appear in a recording available within the member community.

Private coaching recordings are not ordinarily made available to the general LDE community and may instead be shared privately with the applicable student.

Additional information concerning recordings and personal information is provided in our Privacy Policy.

22. SHAYNE AI AND AI-POWERED FEATURES

LDE 2.0 may include artificial intelligence-powered functionality, including Shayne AI.

AI-generated content is provided for educational and informational purposes. Artificial intelligence systems can produce inaccurate, incomplete, outdated, misleading, or inappropriate responses.

You are responsible for reviewing AI-generated output before relying on or acting upon it.

Shayne AI should not be relied upon as legal, tax, accounting, investment, financial, immigration, medical, or other regulated professional advice.

Do not submit passwords, Social Security numbers, government identification numbers, complete payment-card details, bank credentials, medical information, or other highly sensitive information through Shayne AI.

LDE may modify, restrict, suspend, or discontinue AI-powered functionality as the underlying technology and Services evolve.

23. THIRD-PARTY SERVICES

The Services may rely upon or integrate with third-party technology, websites, platforms, authentication providers, payment providers, communication systems, video-conferencing tools, artificial intelligence providers, and other services.

These may include services provided by HighLevel/GHL, Google, Commas, Zoom, Fathom, OpenAI, Apple, and other providers.

Your use of a third-party service may also be governed by that provider's own terms and privacy policies.

LDE does not control independent third-party services and is not responsible for their independent acts, omissions, availability, security, policies, or changes, except to the extent responsibility cannot lawfully be excluded.

24. APPLE APP STORE AND GOOGLE PLAY

If you download LDE 2.0 through the Apple App Store or Google Play, your use of the applicable store and certain aspects of the application may also be subject to the applicable platform's terms and policies.

Apple and Google are not parties to your separate LDE Program Agreement merely because the application is distributed through their platforms.

To the extent required by applicable platform rules, these Terms will be interpreted consistently with applicable mandatory app-store requirements.

25. PROHIBITED CONDUCT

You may not use the Services to:

  • Violate applicable law or regulation;
  • Violate these Terms or an applicable Program Agreement;
  • Harass, threaten, exploit, defraud, or abuse another person;
  • Gain unauthorized access to accounts, systems, data, or Services;
  • Interfere with or disrupt the Services;
  • Introduce malware, viruses, malicious code, or harmful technology;
  • Attempt to reverse engineer protected software except where such restriction is prohibited by law;
  • Scrape or systematically harvest protected content or member information without authorization;
  • Collect or misuse another user's personal information;
  • Impersonate LDE, an LDE coach, another member, or another person;
  • Use the Services for fraud, scams, or deceptive activity;
  • Share, sell, or transfer unauthorized access to the Services;
  • Infringe LDE's or another person's intellectual-property rights;
  • Use LDE materials to operate an unauthorized competing training or coaching service; or
  • Assist another person in engaging in prohibited conduct.

26. SUSPENSION AND TERMINATION

LDE may suspend, restrict, or terminate access to some or all Services where reasonably necessary because of:

  • Material or repeated violation of these Terms;
  • Violation of an applicable Program Agreement;
  • Nonpayment of amounts validly due;
  • Account or credential sharing;
  • Unauthorized distribution of LDE materials;
  • Harassment, abuse, fraud, or serious community misconduct;
  • Security threats or misuse of the Services;
  • Legal or regulatory requirements; or
  • Conduct that creates material risk to LDE, the Services, or other users.

Where appropriate under the circumstances, LDE may provide notice or an opportunity to address a violation before termination. Serious misconduct, fraud, security threats, unlawful activity, or urgent safety concerns may justify immediate action.

Termination of platform access does not automatically extinguish payment, confidentiality, intellectual-property, indemnification, dispute, or other obligations that validly survive termination.

27. ACCOUNT DELETION

You may request deletion of your LDE 2.0 account through the account deletion methods described in our Privacy Policy and Account & Data Deletion page.

Account deletion may permanently terminate your ability to access courses, community features, messages, training progress, files, and other account-based Services.

Deleting your LDE 2.0 account is not the same as canceling a Program Agreement, installment obligation, or recurring subscription.

Account deletion does not automatically eliminate contractual payment obligations that remain valid under an applicable Program Agreement, purchase terms, or applicable law.

28. SERVICE AVAILABILITY AND CHANGES

We may update, maintain, modify, replace, improve, or discontinue features of the Services as our programs and technology evolve.

This may include changes to application interfaces, community platforms, service providers, training organization, tools, coaching schedules, content delivery methods, or individual features.

We do not guarantee uninterrupted or error-free availability of every feature at all times.

Nothing in this section permits LDE to disregard material obligations expressly owed to you under an applicable Program Agreement or non-waivable applicable law.

29. PRIVACY

LDE's collection, use, disclosure, retention, and other processing of personal information is described in our Privacy Policy.

The Privacy Policy should be reviewed together with these Terms.

Where required by applicable law, LDE will seek appropriate consent for particular processing activities separately from acceptance of these Terms.

30. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR EXPRESS OBLIGATIONS OR WARRANTIES CONTAINED IN AN APPLICABLE PROGRAM AGREEMENT, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LDE DISCLAIMS IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LDE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, COMPLETELY SECURE, ERROR-FREE, OR THAT EVERY DEFECT WILL BE CORRECTED.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

31. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LDE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LDE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO LDE FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE FOREGOING LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

Applicable Program Agreements may contain additional provisions concerning liability, remedies, and risk allocation.

32. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Leading Digital Ecom, Inc. and its directors, officers, employees, agents, and contractors from third-party claims, liabilities, damages, losses, and reasonable costs and expenses, including reasonable attorneys' fees, arising from or relating to:

  • Your unlawful use of the Services;
  • Your material violation of these Terms;
  • Your User Content;
  • Your infringement or violation of another person's rights; or
  • Your fraud, willful misconduct, or unauthorized use of LDE's intellectual property.

This provision does not require you to indemnify LDE for matters to the extent caused by LDE's own conduct where such indemnification would be prohibited by applicable law.

33. GOVERNING LAW AND VENUE

Except to the extent applicable law requires otherwise, these Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.

Subject to any mandatory rights or jurisdictional requirements under applicable law, disputes arising out of or relating to these Terms or the Services will be brought in a court of competent jurisdiction located in Florida.

If applicable consumer law gives you the right to bring a claim in another jurisdiction or provides protections that cannot be waived by contract, this section does not eliminate those rights.

34. ATTORNEYS' FEES

Where permitted by applicable law and subject to any controlling Program Agreement, the prevailing party in an action brought to enforce or interpret these Terms may seek recovery of reasonable attorneys' fees and costs to the extent awarded by a court or otherwise permitted by law.

35. UNITED STATES AND CANADIAN CONSUMER RIGHTS

These Terms are not intended to waive or restrict consumer-protection, privacy, cancellation, refund, warranty, or other statutory rights that cannot lawfully be waived or restricted.

If you are located in a U.S. state or Canadian province or territory that provides mandatory rights inconsistent with a provision of these Terms, the applicable mandatory law will control to the extent of the conflict.

Nothing in these Terms should be interpreted as requiring a consumer to waive a right that applicable law prohibits the consumer from waiving.

36. ELECTRONIC COMMUNICATIONS

By using the Services, you acknowledge that certain agreements, notices, disclosures, records, and communications may be provided electronically, subject to applicable law.

LDE may send administrative and service-related communications concerning your account, purchases, security, coaching, community, or Services.

Marketing communications are subject to applicable consent and unsubscribe requirements as described in our Privacy Policy.

37. ASSIGNMENT AND TRANSFER

Your rights to access an LDE program or account are personal to you and may not be assigned, transferred, sold, or sublicensed without LDE's prior written authorization.

LDE may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of substantially all relevant assets, or similar business transaction, subject to applicable law.

38. SEVERABILITY

If a provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or, where appropriate, severed, and the remaining provisions will remain in effect.

39. NO WAIVER

LDE's failure or delay in enforcing a provision of these Terms does not constitute a waiver of that provision or any other right.

A waiver is effective only to the extent expressly provided by the party granting it.

40. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any applicable Program Agreement, purchase terms, community rules, or other terms expressly incorporated by reference, constitute the applicable agreement concerning your use of the Services.

As explained above, a separately executed Program Agreement controls over these general Terms with respect to directly conflicting program-specific commercial provisions applicable to that enrollment.

41. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to the Services, technology, business practices, legal requirements, or other circumstances.

When these Terms are updated, we will revise the "Last Updated" date above.

Where required by applicable law or appropriate because of a material change, we may provide additional notice through the Services, email, our website, or another reasonable method and seek renewed acceptance where required.

Changes to these general Terms do not retroactively modify material program-specific payment, refund, or guarantee obligations established by a separately executed Program Agreement unless the parties validly agree otherwise or applicable law permits the modification.
